Board Recommends Bylaws Changes

Untitled document At its September 25, 2009 meeting, the CARLI Board of Directors considered and unanimously recommended adoption of a series of changes to the Bylaws of the consortium. Read the full text of the proposed changes.

The recommendations include the reduction in the number of membership categories from three to two and a change in the way that the seats on the Board are distributed and selected. The Board of Directors believes that these changes represent the logical evolution of CARLI’s structure and governance necessary for the continued development of the consortium

Untitled document CARLI Governing Directors will vote on the Bylaws changes beginning on Monday, November 16, through 5pm on Friday, December 18. An affirmative vote of two-thirds (2/3) of Governing members is required to adopt these recommended changes. Please contact support@carli.illinois.edu for more information.

Full summary of the proposed changes to the CARLI Bylaws:

Section 3

  • Reduce the number of membership categories from three (3) [Basic, Associate, Governing] to two (2) [Affiliate, Governing].
  • Clarify the minimum criteria for membership as recognition by the Illinois Board of Higher Education and membership in ILLINET.
  • Indicate that the libraries of for-profit academic institutions may be subject to a differential schedule of fees, and that they may be contractually excluded for some products and services offered by and through CARLI.
  • Clarify that the Board may apply additional criteria for membership.
  • Specify that the Board will determine which services are available to each category of membership.
Section 4
  • Specify that only directors, defined as the person who is operationally responsible for the staff, services, and budget of the library, may serve on the Board of Directors. Titles include, but are not limited to Director, Dean, Chair, or Head Librarian.
Section 6
  • Specify annual timing for making changes in an institution’s membership.
Section 7
  • Specify annual timing for terminating an institution’s membership in CARLI.
Section 9
  • Eliminate the Board seat representing Associate members.
  • Reduce the number of elected seats on the Board from twelve (12) to nine (9) by eliminating At-large representatives.
  • Create three appointed seats on the Board, one each representing the three constituencies.
  • Specify the term (1 year), method of selection, process for reappointment, and term limits for appointed members.
  • Eliminate the Ex Officio seat for a representative of the Illinois Board of Higher Education.
  • Make editorial changes for consistency based on the changes in the membership of the Board.
Section 10
  • Clarify the requirements for amending the Bylaws.
